2.1 Service Availability

We reserve the right to modify, suspend, or discontinue any service or any part thereof, with or without notice, at any time. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services. We will endeavor to provide reasonable advance notice of significant service changes where possible.

3. Eligibility

Our services are intended exclusively for business purposes and for individuals and entities that meet the following eligibility criteria:

• You are at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law
• If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms
• You are not prohibited from receiving our services under any applicable laws of India or any other jurisdiction
• You will use our services only for lawful business purposes and in compliance with all applicable laws and regulations

Nilex Enterprises reserves the right to refuse service to any individual or entity at its sole discretion, particularly where such service would be contrary to law, regulation, or our business policies.

4. User Obligations and Prohibited Activities

• Service Deliverables: Unless otherwise agreed in a separate Service Agreement, all work product, reports, analyses, strategies, and other deliverables created by Nilex Enterprises for clients shall remain the intellectual property of Nilex Enterprises until full payment is received, at which point ownership may transfer as specified in the service agreement.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for personal and internal business purposes only. This license does not include any rights to resell, modify, create derivative works from, or commercially exploit our content or services without express written consent.

6. Payment Terms and Conditions

Payment terms for services provided by Nilex Enterprises shall be as follows:

• All service fees shall be as quoted in writing by Nilex Enterprises and agreed to by the client prior to commencement of services
• Unless otherwise agreed in writing, payment is due within 30 days of the invoice date
• All prices are exclusive of applicable taxes including GST, which shall be charged in addition to the quoted price
• Late payments shall attract interest at the rate of 2% per month or the maximum permissible rate under applicable law
• Nilex Enterprises reserves the right to suspend or terminate services for non-payment without liability
• All fees paid are non-refundable unless explicitly stated otherwise in the service agreement or as required by applicable law

For project-based work, payment schedules shall be defined in the relevant Service Agreement. Advance payments or milestone-based payments may be required at Nilex Enterprises' discretion.

7. Confidentiality

Both parties acknowledge that in the course of the business relationship, each party may disclose Confidential Information to the other. For the purposes of this clause, "Confidential Information" means any non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to:

• Maintain the confidentiality of the other party's Confidential Information using at least the same degree of care used to protect its own confidential information, but no less than reasonable care
• Use the other party's Confidential Information solely for the purposes of the business relationship
• Not disclose Confidential Information to third parties without prior written consent, except as required by law

Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of this agreement, was rightfully known before disclosure, or is independently developed without reference to the Confidential Information.

8. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Warranty: Our website and services are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Limitation of Damages: In no event shall Nilex Enterprises be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, arising out of or in connection with your use of our services.
• Cap on Liability: Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the fees actually paid by you to us in the three months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

9. Communication and Notification Consent

By submitting any contact form, registering with us, or engaging our services, you agree and consent to receive communications from Nilex Enterprises and its authorized communication partners, including My Inbox Media®, through the following channels:

• Email communications including newsletters, promotional content, service updates, and transactional notifications
• SMS (Short Message Service) messages for service alerts, promotions, and important updates
• OBD (Outbound Dialing) calls for customer service and promotional purposes
• Google RCS (Rich Communication Services) messages for enhanced interactive communications
• WhatsApp messages for customer support and promotional communications
• Any other digital communication platforms authorized by you

You may opt out of marketing communications at any time by contacting us at info@nilexenterprises.shop. Opting out of marketing communications will not affect transactional communications necessary for service delivery.

10. Termination

Either party may terminate a service engagement in accordance with the terms specified in the relevant Service Agreement. In the absence of a specific provision:

• Either party may terminate ongoing services with 30 days written notice to the other party
• Nilex Enterprises may immediately terminate access to services for material breach of these Terms, non-payment, or conduct that is harmful, unlawful, or disruptive
• Upon termination, you must immediately cease use of any materials, access credentials, or proprietary information provided by Nilex Enterprises
• Fees for services rendered up to the date of termination shall remain due and payable

Provisions that by their nature should survive termination, including but not limited to intellectual property rights, confidentiality, limitation of liability, and dispute resolution, shall survive termination of this Agreement.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, the parties agree to the following dispute resolution process:

11.1 Informal Resolution

Before initiating any formal dispute resolution, the aggrieved party shall notify the other party in writing of the nature of the dispute, the specific relief sought, and a proposed resolution. The parties shall endeavor to resolve the dispute informally through good faith negotiation within 30 days of such notice.

11.2 Mediation

If informal resolution fails, the parties may agree to submit the dispute to mediation before a mutually agreed mediator. Costs of mediation shall be shared equally between the parties.

11.3 Arbitration

If mediation is unsuccessful or not agreed upon, any unresolved dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Chennai, Tamil Nadu, in the English language, before a sole arbitrator mutually appointed by the parties.

12. Governing Law and Jurisdiction

These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India, specifically the laws applicable in the State of Tamil Nadu.

Subject to the dispute resolution clause above, the courts of Chennai, Tamil Nadu, India, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or our services.

13. Amendments and Updates

Nilex Enterprises reserves the right to modify, amend, or update these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. We will endeavor to provide reasonable notice of material changes through:

• Posting a notice on our website homepage
• Updating the "Last Updated" date at the top of these Terms
• Sending an email notification to registered users for significant changes

Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of our services immediately.
